VetRefs Terms of Service

Effective Date: January 29th, 2026

These Terms of Service ("Terms") govern access to and use of the VetRefs platform, websites, applications, and services (collectively, the "Services"). By creating an account, checking an acceptance box, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Parties

  • VetRefs, "we," "us," refers to VetRefs, the platform provider.
  • Agent, "you," refers to any real estate agent, broker, team, brokerage, or business entity using the Services.
  • Consumers are individuals who submit information through Agent-created forms.

2. Eligibility and Account Registration

You represent that:

  • You are at least 18 years old
  • You are legally permitted to operate as a real estate professional in applicable jurisdictions
  • Information you provide is accurate and kept current

You are responsible for safeguarding login credentials and all activity occurring under your account.

3. Nature of the Services

VetRefs provides technology tools for:

  • Lead capture and form hosting
  • Lead transmission and storage
  • Lead nurturing workflows and communications

VetRefs does not:

  • Act as a real estate broker or agent
  • Provide legal, financial, or compliance advice
  • Guarantee leads, conversions, or business outcomes

4. Agent Responsibilities and Compliance

You acknowledge and agree that:

  • You are the data controller for all Consumer data collected
  • You are solely responsible for the legality of your marketing, disclosures, and communications
  • You will comply with all applicable laws, including TCPA, CAN-SPAM, TDPSA (TX), FDBR (FL), and any applicable real estate regulations
  • You will obtain all required consents before contacting Consumers, including separate consent for automated texts or calls

VetRefs may suspend or terminate accounts for violations of law or these Terms.

5. Acceptable Use

You agree not to:

  • Use the Services for unlawful, deceptive, or abusive practices
  • Upload malware, scrape data, or attempt unauthorized access
  • Send communications without required consent
  • Use the Services to harass, discriminate, or mislead

VetRefs reserves the right to monitor usage and enforce these restrictions.

6. Fees and Payment

Certain features require payment. Fees, billing terms, and renewal conditions are disclosed at purchase. Payments are processed by third-party providers. VetRefs does not store full payment card details. Failure to pay may result in suspension or termination.

7. Intellectual Property

VetRefs retains all rights to the platform, software, branding, and documentation. You retain ownership of your content and data but grant VetRefs a limited license to host, process, and transmit such data solely to provide the Services.

8. Data Protection

Use of the Services is subject to:

  • The VetRefs Agent Privacy Policy
  • The VetRefs Consumer Privacy Policy
  • The Data Processing Addendum (DPA)

These documents are incorporated by reference.

9. Suspension and Termination

VetRefs may suspend or terminate access:

  • For violation of these Terms
  • For legal or regulatory risk
  • For non-payment

Upon termination, access to Services may cease immediately. Data handling will follow the Privacy Policy and DPA.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VETREFS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VetRefs does not guarantee uninterrupted service or error-free operation.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETREFS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION. VETREFS’ TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VETREFS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless VetRefs from claims, damages, losses, and expenses arising from:

  • Your violation of law or these Terms
  • Your marketing practices or communications
  • Your misuse of Consumer data

13. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

  1. Mandatory Binding Arbitration
    Except as expressly stated below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and VetRefs shall be resolved exclusively by binding arbitration, rather than in court. Arbitration shall be conducted by a single neutral arbitrator under the rules of the American Arbitration Association (AAA) on an individual basis only.
  2. Exceptions
    Either party may bring an individual claim in small claims court if the claim qualifies. VetRefs may also seek injunctive or equitable relief in a court of competent jurisdiction to prevent unauthorized use, abuse, or infringement of its intellectual property.
  3. Location and Governing Law
    Arbitration shall take place in Texas, unless the parties agree otherwise. These Terms and any disputes shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
  4. Class Action Waiver
    YOU AND VETREFS AGREE THAT ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.
  5. Jury Trial Waiver
    YOU AND VETREFS WAIVE ANY RIGHT TO A TRIAL BY JURY.

14. Changes to the Terms

VetRefs may modify these Terms from time to time. Continued use after updates constitutes acceptance. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive venue shall lie in state or federal courts located in Texas.
